Terms of Use

Welcome to circld, a rental marketplace platform that helps you do more with your time and money. These Terms of Use (“Terms”) constitute a legally binding agreement between you and circld regarding your access to and use of our mobile application and services.

By downloading, accessing, or using circld, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

circld is a technology platform that facilitates peer-to-peer rental transactions by enabling users to:

• List personal items for rent to other users
• Browse and rent items from other users
• Communicate through our messaging system
• Manage booking requests and rental agreements
• Focus on experiences over ownership

To use circld, you must:

• Be at least 16 years of age
• Have the legal capacity to enter into binding agreements
• Provide accurate and complete registration information
• Comply with all applicable laws and regulations

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

As a user, you agree to:

• Provide accurate information in your profile and listings
• Only list items you legally own or have permission to rent
• Communicate respectfully with other users
• Honor your rental commitments and agreements
• Report inappropriate behavior or content
• Comply with all applicable local, state, and federal laws

As an item owner, you additionally agree to:

• Provide accurate descriptions and photos of your items
• Ensure items are safe and in working condition
• Respond promptly to rental requests and messages

As a renter, you additionally agree to:

• Use rented items responsibly and as intended
• Return items in the same condition as received
• Pay agreed-upon rental fees promptly

You may not use circld to:

• List illegal, stolen, or dangerous items
• Post false, misleading, or fraudulent content
• Impersonate another person or entity
• Harass, threaten, or abuse other users
• Attempt to circumvent platform security measures
• Use automated systems to access the platform
• Violate any applicable laws or regulations
• Engage in commercial activities outside the intended rental marketplace

circld reserves the right to investigate violations, remove content, suspend accounts, and cooperate with law enforcement as necessary.

All rental transactions are conducted directly between users. circld does not process payments, handle deposits, or manage any financial transactions, and does not act as an escrow, broker, insurer, or guarantor for any rental.

Users are solely responsible for determining rental terms, pricing, security deposits, and payment methods among themselves, and for carrying out any payment off-platform.

circld is not responsible for payment disputes, failed transactions, fraud, or financial losses between users.

The circld application, including its design, features, code, and trademarks, is owned by circld and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

By posting content on circld (including photos, descriptions, and messages), you grant us a non-exclusive, worldwide license to use, display, and distribute such content solely for the purpose of operating and improving our services.

You retain ownership of your original content and are responsible for ensuring you have the right to post any content you upload.

We do not verify, endorse, or guarantee the accuracy, completeness, legality, or reliability of any user, listing, item, message, or interaction on the platform.

circld is not responsible or liable for, and disclaims all liability arising from:

• The condition, safety, quality, ownership, or legality of any listed item
• The conduct, identity, or statements of any user
• Any rental agreement, dispute, damage, injury, theft, or loss between users
• Any payment, refund, or financial arrangement made off-platform
• Technical issues, service interruptions, downtime, or data loss
• Third-party actions, services, or content

To the maximum extent permitted by applicable law, you use circld entirely at your own risk and circld's aggregate liability to you for any and all claims arising out of or relating to these Terms or your use of the service is limited to CAD $0. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless circld and its operator from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your rental activities or interactions with other users, your violation of these Terms, or your infringement of any rights of another party.

You may delete your account at any time through the app settings or by contacting support@circld.com. Upon account deletion, your personal data will be removed in accordance with our Privacy Policy.

circld may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or for any other reason we deem necessary to protect our platform and users.

Sections of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, and limitation of liability) will remain in effect after termination.

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Sending an email to your registered email address
• Posting a notice within the app
• Updating the “Last Updated” date

Your continued use of circld after any modifications constitutes acceptance of the updated Terms. If you disagree with any changes, you must stop using our services.

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these Terms or your use of circld will be subject to the exclusive jurisdiction of the courts in Ontario, Canada.

Before pursuing formal legal action, we encourage users to contact us directly to resolve disputes amicably.
